Refund Policy

1. Introduction and Scope

This Refund Policy ("Policy") describes how XGenTra Inc. ("XGenTra," "we," "us," or "our") handles refund requests for purchases on XAgentStore (the "Service"). It supplements, and should be read together with, Section 5.3 (Refunds) and Section 6 (Credits System) of the Terms of Service. In the event of any conflict between this Policy and the Terms of Service, the Terms of Service shall prevail to the extent of the conflict; otherwise, this Policy provides the operational detail.

The Service is available globally, with primary markets in the United States, South Korea, and Japan. All transactions are denominated in US Dollars (USD) and processed via Stripe.


2. Definitions

For clarity, the following terms apply throughout this Policy.

MakerA user who lists .xagt files for sale on the Service.
.xagt fileAn executable knowledge transfer file as defined in Section 2 of the Terms of Service.
CreditsThe in-Service virtual currency (100 credits = USD $1) used to purchase .xagt files.
PurchaseA single completed checkout transaction processed through Stripe.
RefundReversal of a Purchase, in whole or in part, returned to the original payment method or issued as XGenTra credits.
ChargebackA reversal of a card transaction initiated by the Buyer directly through the Buyer's card issuer or bank.
Settlement BalanceA Maker's accumulated earnings held by XGenTra pending payout.

3. General Principles

3.1 Digital Goods

.xagt files are digital goods that, once delivered, may not be returned in a meaningful sense. Refunds for .xagt files are therefore limited to the specific circumstances enumerated in Section 5 of this Policy and to any non-waivable statutory rights set out in Section 13.

3.2 Refund Window

Eligible refund requests must be submitted within seven (7) calendar days of the original purchase. Requests submitted after this window will be considered only in exceptional circumstances or where required by applicable law.

3.3 Good Faith Review

XGenTra reserves the right to investigate the circumstances of any refund request, including reviewing access logs, download events, and user history, to confirm that the request is made in good faith.

3.4 No Continuing Obligation

Granting a refund in a particular case does not create any precedent, course of dealing, or continuing obligation to grant refunds in other cases.


4. Non-Refundable Cases

Refunds will generally not be issued in the following circumstances:

4.1 Download or Access Initiated

The Buyer has initiated or completed a download of the .xagt file. For purposes of this Policy, "downloaded or accessed" means the earlier of: (a) the moment a user clicks the download button or otherwise initiates a download of the .xagt file, or (b) the moment a user accesses the purchase detail page where the file content is displayed.

4.2 Consumption Through Linked Runtime

The Buyer has accessed the file's content through a linked AI agent runtime, API integration, or other consumption channel.

4.3 Stale Request

More than seven (7) calendar days have elapsed since the original purchase, except where Section 13 requires otherwise.

4.4 Change of Mind

The Buyer has merely changed their mind, absent a technical defect, material misrepresentation by the Maker, or other ground enumerated in Section 5.

4.5 Duplicate Claim

A refund has previously been granted for the same .xagt file from the same listing to the same Buyer.

4.6 Complimentary Credits

The request relates to credits granted at no charge (including the 100 complimentary credits issued upon account registration; see Section 6 of the Terms of Service).

4.7 Already-Redeemed Credits

The request relates to credits that have already been redeemed for any purchase or paid feature on the Service.


5. Eligible Refund Cases

Subject to verification under Section 12, XGenTra will process a refund in the following cases:

5.1 Material Description Mismatch

The .xagt file is materially different from its published description, screenshots, or sample outputs in a manner that a reasonable Buyer would not have anticipated.

5.2 Functional Defect

The file contains defects that prevent it from performing the functions explicitly described on its listing page, on the AI runtimes identified by the Maker.

5.3 Maker Terms Violation

The Maker has uploaded content that violates the Terms of Service, the Maker Content Guidelines, or applicable law (e.g., infringing third-party intellectual property, containing malicious code, or violating Section 4.2 of the Terms of Service).

5.4 Technical Error by XGenTra

A technical error attributable to XGenTra (including erroneous double-charging, currency conversion error, or platform-side failure) caused an incorrect charge.

5.5 Unauthorized Transaction

A charge was placed on the Buyer's card without the cardholder's authorization, subject to identity and ownership verification as set out in Section 12.

5.6 Statutory Right

Applicable law in the Buyer's jurisdiction grants a non-waivable right of withdrawal that has not been validly waived under Section 13.


6. Refund Request Process

To request a refund:

6.1 Contact

Email [email protected] within seven (7) calendar days of the original purchase, with the subject line "Refund Request — [Purchase ID]".

6.2 Required Information

Include in the request:

  • The Purchase ID (visible on the receipt email and in My Purchases).
  • The .xagt file title and the Maker.
  • A clear description of the issue and, where applicable, the eligible refund case from Section 5 invoked.
  • Supporting evidence (screenshots, error logs, runtime output, or other documentation) sufficient for XGenTra to evaluate the claim.

6.3 Response Timeline

6.4 Identity Verification

XGenTra may require the Buyer to verify identity or ownership of the payment method (see Section 12) before processing a refund. Refund processing is paused until verification is completed; XGenTra is not liable for delays attributable to incomplete or refused verification.

6.5 No Retaliation

Submitting a refund request in good faith does not subject the Buyer to suspension, throttling, or any other adverse action with respect to the Buyer's account or future use of the Service.


7. Refund Method and Currency

7.1 Default Method

Approved refunds are returned to the original payment method via Stripe.

7.2 Buyer Election

At the Buyer's election, an approved refund may instead be issued as XGenTra credits of equivalent USD value, which may be processed more quickly than card refunds.

7.3 Currency

All refunds are denominated in USD, matching the currency of the original transaction. Any foreign-exchange variance arising between the time of purchase and the time of refund is the Buyer's responsibility and is not reimbursed by XGenTra.

7.4 Partial Refunds

Where only a portion of a transaction is eligible for refund (e.g., bundled purchases or partial credit redemption), XGenTra may issue a partial refund proportionate to the eligible amount.


8. Stripe Processing Fees

8.1 Standard Deduction

Approved refunds returned to the original payment method will have non-recoverable Stripe processing fees deducted from the refunded amount. As of the Last Updated date, the standard Stripe fee schedule for our jurisdiction is 2.9% + USD $0.30 per transaction. This deduction reflects the fact that Stripe does not return these fees to XGenTra upon refund.

8.2 Exception (XGenTra Error or Confirmed Fraud)

Where XGenTra determines that the refund is due to (a) a technical error attributable to XGenTra under Section 5.4, or (b) an unauthorized transaction confirmed under Section 5.5 and Section 12, the processing fees will not be deducted and the full original amount will be returned.

8.3 Credit Refunds

Refunds issued as XGenTra credits at the Buyer's election (Section 7.2) are not subject to the processing-fee deduction.

8.4 Fee Schedule Updates

The fee schedule may change if Stripe updates its pricing or if XGenTra changes payment processors. The fee actually deducted will be the fee in effect on the date of refund processing.


9. Credits System Refundability

9.1 Purchased Credits

Credits are non-refundable under Section 6 of the Terms of Service. Where a purchase of credits is itself eligible for refund under Section 5 of this Policy (e.g., a technical error by XGenTra under Section 5.4, or an unauthorized transaction under Section 5.5), credits that have not yet been redeemed will be reversed at the same time as the underlying purchase. Outside such circumstances, unredeemed credits remain non-refundable.

9.2 Complimentary Credits

Credits granted at no charge (including the 100 complimentary credits issued upon registration under Section 6 of the Terms of Service) are non-refundable and have no cash value.

9.3 Earned or Compensatory Credits

Credits issued as compensation, promotion, or in lieu of a cash refund (Section 7.2) are non-refundable for cash but may be applied to future purchases on the Service.

9.4 Account Deletion

Unused credits are forfeited upon account deletion, except where applicable unclaimed-property law requires otherwise (see Section 6 of the Terms of Service for Delaware's five-year dormancy reference).


10. Maker Responsibility and Settlement Adjustments

10.1 Refund Cost Allocation

Where a refund is granted under Section 5.1, 5.2, or 5.3 — that is, due to circumstances attributable to the Maker — the refunded amount and the non-recoverable Stripe processing fees will be debited from the Maker's Settlement Balance.

10.2 Insufficient Balance

If the Maker's Settlement Balance is insufficient to cover the debit, the shortfall will be carried forward against future Settlement Balance accruals.

10.3 Repeated Issues

Three (3) or more substantiated refund claims against the same .xagt file, or repeated violations of the Maker Content Guidelines, may result in delisting of the file, suspension of the Maker account, or both, in accordance with Section 4.4 of the Terms of Service.

10.4 Maker Notification

Makers will be notified of any refund decision that affects their Settlement Balance, with a brief statement of the reason and the supporting case category under Section 5.


11. Chargebacks and Disputes

11.1 Direct Contact First

Buyers are strongly encouraged to contact XGenTra at [email protected] before initiating a chargeback with their bank or card issuer. Many disputes can be resolved more quickly and to the Buyer's benefit through direct contact.

11.2 Chargeback Process

When a chargeback is filed:

  • XGenTra is notified through Stripe and is given a limited window (typically 7–21 days, depending on card network rules) to submit evidence in response.
  • XGenTra will submit relevant evidence (purchase record, download / access logs, communications with the Buyer) to Stripe.
  • The Buyer's bank or card issuer ultimately determines the outcome of the chargeback under the rules of the applicable card network.

11.3 Chargeback Outcome

  • If the chargeback is decided in the Buyer's favor, the disputed amount is returned to the Buyer through the card network. The Buyer's continued access to the disputed .xagt file may be revoked.
  • If the chargeback is decided in XGenTra's favor, the disputed amount remains with XGenTra. The Buyer remains entitled to seek a refund under Sections 5–7 of this Policy on the merits.

11.4 Fraudulent Chargebacks

Where a chargeback is determined to have been filed without a valid basis (e.g., where the Buyer has clearly received and used the .xagt file and the merits do not support reversal), XGenTra reserves the right to suspend or terminate the Buyer's account pursuant to Section 13 of the Terms of Service and to seek recovery of any chargeback fees from the Buyer.


12. Identity Verification and Anti-Fraud

12.1 Verification Authority

XGenTra may require the Buyer to verify identity or ownership of the payment method before processing any refund, in order to prevent fraudulent refund claims and to protect legitimate cardholders.

12.2 Permissible Methods

Verification may include:

  • Confirmation from the email address on file with the user account.
  • Provision of the last four digits of the card used for the purchase.
  • Stripe-side cardholder verification (3-D Secure or equivalent).
  • For high-value refunds or those flagged as suspicious, government-issued identification matching the cardholder name.

12.3 Suspension Pending Verification

Refund processing is paused while verification is pending. XGenTra is not liable for delays attributable to incomplete or refused verification.

12.4 Unauthorized Transactions

Where a charge is confirmed to be unauthorized (e.g., card theft or account compromise), the refund is processed in full without the Stripe fee deduction under Section 8.2, and XGenTra cooperates with the cardholder and the card issuer to prevent further unauthorized use.


13. Statutory Rights by Jurisdiction

This Section describes how mandatory consumer-protection laws of certain jurisdictions interact with this Policy. Nothing in this Policy limits or excludes any rights that cannot be waived under the mandatory consumer-protection laws applicable in the Buyer's jurisdiction.

13.1 United States — Delaware (Primary Governing Law)

There is no federal cooling-off statute applicable to digital-goods purchases. State-level consumer-protection statutes (including those of Delaware) continue to apply alongside this Policy.

13.2 California

California residents retain rights under the Consumers Legal Remedies Act (CLRA) and the California Automatic Renewal Law (where applicable). This Policy does not waive those rights.

13.3 Republic of Korea

Under Article 17(2)(5) of the Act on the Consumer Protection in Electronic Commerce (전자상거래 등에서의 소비자보호에 관한 법률), the seven-day right of withdrawal does not apply to digital content whose provision has commenced with the consumer's prior consent, provided that the consumer was clearly informed in advance that the right of withdrawal would be lost upon such commencement.

XGenTra obtains this prior consent and provides the required disclosure at the checkout flow. Where the disclosure has not been validly given for a particular purchase, the Korean Buyer's seven-day right of withdrawal under that Act is not waived for that purchase.

13.4 Japan

Under the Act on Specified Commercial Transactions (特定商取引法), distance-selling transactions are not subject to a uniform statutory cooling-off period as a default rule; the seller's advertised return / refund policy governs. Specifically, the default eight-day no-questions return right under Article 15-3 of that Act applies only where the seller has not disclosed an Article 11 返品特約 in its advertisements; this Policy is XGenTra's disclosed 返品特約 for the purposes of that Act and is presented at the point of advertisement and at checkout.

13.5 European Union and United Kingdom

Under Article 16(m) of Directive 2011/83/EU on Consumer Rights (as amended) (and its national implementations, including the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013), the consumer's right of withdrawal does not apply to the supply of digital content not on a tangible medium if performance has begun with the consumer's prior express consent and acknowledgement of loss of the right of withdrawal. XGenTra obtains this consent and acknowledgement at checkout. Where consent or acknowledgement was not validly obtained, the 14-day right of withdrawal under Article 9 of the Directive (or the equivalent national implementation) applies.

13.6 Other Jurisdictions

Buyers residing elsewhere should consult their local consumer-protection authority for non-waivable rights that may supplement this Policy.


14. Modifications to this Policy

14.1 Right to Amend

XGenTra may modify this Policy from time to time.

14.2 Notice

Material changes will be communicated by email to registered users and by a prominent notice on the Service at least thirty (30) days before the changes take effect. The "Last Updated" date at the top reflects the most recent revision.

14.3 Effect of Changes

Continued use of the Service after the effective date of changes constitutes acceptance of the revised Policy. Purchases completed before the effective date of any change are governed by the Policy in effect on the original purchase date.


15. Governing Law and Dispute Resolution

15.1 Governing Law

This Policy is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions. This choice of law does not deprive a Buyer of the protection afforded by mandatory provisions of the law of the Buyer's habitual residence.

15.2 Arbitration

Any dispute arising from or relating to this Policy shall be resolved as provided in Section 14 (Dispute Resolution) of the Terms of Service, including the binding arbitration clause administered by the American Arbitration Association under its Consumer Arbitration Rules, the small-claims court carve-out, and the class-action waiver set out therein.

15.3 Equitable Relief

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15.4 Mandatory Consumer Protections

Nothing in this Section limits a Buyer's mandatory rights under the consumer-protection laws of the Buyer's jurisdiction that cannot be contractually waived.
