2. Description of Service
XAgentStore is an AI knowledge marketplace that enables:
- Makers (sellers) to upload, publish, and sell executable AI knowledge files in
.xagtformat. - Buyers to discover, purchase, and download
.xagtfiles for use with compatible AI agent runtimes (e.g., Claude, ChatGPT, Gemini). - Both parties to access AI-powered tools that assist in building and evaluating knowledge assets.
What is a .xagt file? A .xagt (eXecutable Knowledge Transfer) file packages expert knowledge into a structured format that can be executed by AI runtimes. It may contain conversation flows, decision logic, expert rules, and output templates.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements. You may not register a new account while a rejoin restriction under Section 3.6 applies to you.
3.2 Account Types
| Type | Description |
|---|---|
| Standard Account (Buyer) | Browse, purchase, and download .xagt files |
| Maker Account | All Buyer privileges plus the ability to upload, publish, and sell .xagt files |
A Standard Account becomes a Maker Account through a maker application on the Service. XGenTra may review an application and approve or reject it, or may approve applications on submission. If an application is rejected, the reason is shown on the Service and you may apply again. Accounts that are restricted or suspended (Section 3.5) cannot apply.
3.3 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Providing accurate and up-to-date registration information.
Notify us immediately at [email protected] if you suspect unauthorized access to your account.
3.4 Account Deletion by User
While your account is active, you may delete it at any time through the account deletion procedure in your profile, or by contacting [email protected]. The deletion procedure asks you to confirm that you understand the following and to confirm your decision explicitly:
- you will not be able to register a new account with the same email address during the rejoin period, currently 180 days (Section 3.6);
- you will no longer be able to access files you purchased through the Service; and
- unused credits are forfeited (Section 6).
Upon deletion, your personal data will be handled in accordance with our Privacy Policy.
While your account is restricted or suspended (Section 3.5), you cannot delete it yourself, but you may still request deletion of your account and personal information by emailing [email protected]. We will review and process the request within 10 business days and keep only the information that we are required or permitted by law to retain, such as transaction records and the records described in our Privacy Policy.
3.5 Account Status
Each account is in one of the states below. XGenTra may change the state of an account, in either direction, for conduct that violates these Terms, to protect other users or third parties, to comply with law, or while investigating suspected fraud or abuse. A restriction or suspension has no fixed end date and remains in place until XGenTra changes it.
| State | What you can do |
|---|---|
| Active | Use the Service normally. |
| Restricted | Sign in and view the Service and your existing data. You cannot carry out other activities or make changes (for example, purchasing, listing or editing products, writing reviews, claiming coupons, buying credits, running builds, creating share links, or editing your profile), and you cannot delete your account. As exceptions, you may download files you have already purchased, request a refund of a purchase you have not yet downloaded under the Refund Policy, request a payout of your available Maker earnings, acknowledge notices, and verify files. |
| Suspended | You can sign in, but you cannot use the Service. You can see your account status and its reason, sign out, read our legal documents, and contact support. You cannot download purchased files, request refunds or payouts through the Service, or delete your account. |
A restricted account may verify files but may not submit reports about files.
Account status and listing status are separate. Restricting or suspending an account does not by itself change the status of that account's listings or share links, and Buyers who purchased from that account keep the access described in Section 5.4. When we restrict or suspend an account, we may also act on its listings or share links under Section 4.6.
Suspension does not forfeit a Maker's earnings. While an account is suspended, payouts are on hold, and we may offset amounts the Maker owes (Refund Policy Section 10) and hold amounts reasonably needed to cover refunds and chargebacks related to the reason for the suspension. If the suspension has not been lifted within 180 days, the Maker may request payment of the remaining available balance by contacting [email protected], unless withholding is required by law.
3.6 Rejoining After Account Deletion
When an account is deleted, we keep a keyed hash of its email address (not the address itself) for a rejoin period set by XGenTra, currently 180 days from deletion.
During the rejoin period, a new account cannot be registered with the same email address.
The rejoin period that applies to a deleted account is fixed at the time of deletion; later changes to the setting do not affect it. XGenTra may end a rejoin period early, for example on request to [email protected]. This Section applies only to accounts deleted on or after the effective date of the revision that introduced it. When the rejoin period ends or is ended early, the hash is deleted as described in our Privacy Policy.
3.7 Notices and Appeals
When we restrict or suspend an account, or take an action under Section 4.6 that affects your listings or purchases, we will generally inform you through a notice in the Service, together with the reason, unless the law prevents us or doing so would compromise an investigation or the safety of others. We may, but are not required to, also send these notices by email.
If you believe an action was taken in error, you may appeal it or ask us to review it, including a request to remove an administrative lock, by emailing [email protected] with your account email address and the details. We will review the appeal and inform you of the outcome.
4. Maker Terms
4.1 Content Submission
By submitting a .xagt file to XAgentStore, you:
- Represent that you have all necessary rights to distribute the content.
- Grant XGenTra a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote the file within the Service.
- Acknowledge that your listing content (title, description, sample cases, and other metadata shown on public product pages) is publicly accessible, and grant XGenTra a license to permit third-party search engines and AI systems to crawl, index, cache, and summarize it. This does not apply to the
.xagtfile itself, which is delivered only to purchasers through an access-controlled download link. - Retain full ownership of your intellectual property.
4.2 Prohibited Content
Makers may not submit .xagt files that:
- Infringe on any third-party intellectual property rights (copyright, trademark, patent).
- Contain malicious code, unauthorized data collection mechanisms, or backdoors.
- Generate or distribute illegal content (e.g., CSAM, content facilitating violence or illegal activity).
- Impersonate another person or organization without authorization.
- Make provably false claims to deceive buyers.
4.3 Pricing and Revenue Share
- Makers set their own prices for
.xagtfiles. - XGenTra retains a platform fee of 30% of each transaction; the Maker receives 70%.
- Payouts are processed upon Maker request. Minimum payout threshold: 1,000 credits. Approved payouts are disbursed within 10 business days of approval.
- XGenTra reserves the right to adjust the platform fee with 30 days' written notice.
- If a refund borne by the Maker is made after the Maker's share of that purchase has been paid out, that amount becomes an amount owed by the Maker and is offset against future payouts (Refund Policy Section 10).
- Tax Withholding for Non-U.S. Makers: Makers who are not U.S. persons (as defined by the IRS) must submit a valid IRS Form W-8BEN (individuals) or W-8BEN-E (entities) before payouts can be processed. Failure to provide the required form may result in withholding of up to 30% of payout amounts as required by U.S. tax law. Makers are responsible for their own tax obligations in their country of residence.
4.4 Maker Account Suspension
XGenTra may restrict or suspend (Section 3.5) or terminate a Maker account if:
- The Maker violates these Terms or the Maker Content Guidelines.
- Three or more substantiated complaints are received regarding the same file.
- Fraudulent or abusive behavior is detected.
4.5 Managing Your Listings
A Maker may keep a listing as a draft, make it active, make it inactive (stop selling), archive it, or delete it.
- Inactive: not shown or sold to new Buyers. Existing Buyers keep access.
- Archived: hidden from the store. The Maker can restore it.
- Deleted: hidden from the store and from the Maker. A deleted listing is not erased immediately, and XGenTra may view and restore it.
A deleted listing that has no purchases is permanently removed 30 days after deletion, unless it has been restored or is retained for an administrative action. Builds and share links in the Maker's builder are not affected. A deleted listing that has purchases is kept so that Buyers' access and disputes can be handled, until XGenTra permanently removes it.
Buyers' access to archived or deleted listings is described in Section 5.4.
4.6 Actions by XGenTra on Listings
XGenTra may take the actions below on any listing, whether or not the Maker has also acted, where we reasonably believe that the listing infringes the rights of others, is illegal or harmful, is misleading, does not work as described, is spam or a duplicate, or otherwise violates these Terms, or where required by a legal request, at the Maker's request, for operational reasons, or to correct our own error:
- change its status, including to On hold (reachable only through its direct link, not listed in search, and not available for purchase, reviews, or coupons), Inactive, Archived, or Deleted, or permanently remove it (its files are deleted and purchase records are kept);
- apply an administrative lock, during which the Maker cannot change the listing's status, content, or files, until XGenTra removes the lock (the Maker may request removal under Section 3.7);
- disable share links created from the listing's build;
- allow or block a particular Buyer's access to the purchased file, regardless of the listing's status (Section 5.4); and
- refund purchases of the listing, individually or in bulk, under the Refund Policy, deciding in each case whether the cost is borne by the Maker or by XGenTra.
While a listing is locked, the Maker also cannot create or change coupons for it.
Each action is recorded with its reason. Actions on an account (Section 3.5) and actions on its listings are taken separately.
5. Buyer Terms
5.1 License Grant
Upon purchasing a .xagt file, you receive a non-exclusive, non-transferable, personal license to use the file for your own purposes, subject to any additional license terms specified by the Maker.
5.2 Restrictions
Unless explicitly permitted by the Maker, you may not:
- Redistribute, resell, or sublicense the
.xagtfile to any third party. - Reverse-engineer the file to extract proprietary information.
- Use the file to create a competing product or service.
5.3 Refunds
- Refund requests may be submitted within 7 days of purchase.
- If you have not downloaded or accessed the file, you may obtain a refund for any reason by requesting it within 7 days of purchase (Refund Policy Section 5.8).
- Refunds are granted at XGenTra's discretion if the file is materially different from its description or is technically non-functional.
- Refunds are not available after the file has been downloaded or its content accessed. For purposes of this section, "downloaded or accessed" means the earlier of: (a) the moment a user clicks the download button or initiates a download of the
.xagtfile, or (b) the moment a user accesses the purchase detail page where the file content is displayed. - Approved refunds of card payments will be returned to the original payment method after deducting any non-recoverable Stripe processing fees (typically 2.9% + $0.30 per transaction), unless XGenTra determines the refund is due to our error. Purchases of
.xagtfiles paid with credits are refunded in credits, without any processing-fee deduction. - To request a refund, contact [email protected] with your purchase details, or use the refund request in My Purchases where it is offered for an eligible purchase. We will respond within 5 business days; approved refunds are processed within 10 business days.
- XGenTra may also refund a purchase on its own initiative, including after download (Refund Policy Section 5.7).
- Makers cannot issue refunds directly. A Maker who wishes to refund a Buyer should contact [email protected].
5.4 Access to Purchased Files
After purchase, you can view and download the purchased file from My Purchases, subject to the following:
- If the listing is Active, On hold, or Inactive, your access continues.
- If the Maker archives or deletes the listing, your access continues, including for listings archived before the effective date of this revision, unless XGenTra later blocks access for rights infringement, illegal content, or a legal request.
- If XGenTra archives or deletes the listing, your access ends unless XGenTra allows it individually.
- XGenTra may allow or block your access individually, regardless of the listing's status, for example where the file infringes rights or is illegal, or on a legal request.
- If the listing is permanently removed, the file is no longer available, but your purchase record remains.
- A purchase that has been refunded, or is being refunded, no longer gives access.
- Your access also depends on your account status (Section 3.5).
If your access ends for reasons not attributable to you, you may contact [email protected], and we will consider a refund under the Refund Policy.
6. Credits System
- Credits are the in-Service virtual currency (100 credits = USD $1). They are displayed within the Service under the unit symbol XGTR.
- Credits are purchased via Stripe using USD.
- New accounts receive 100 complimentary credits upon registration. Complimentary credits may be granted only after your email address has been confirmed.
- Credits are non-refundable and non-transferable to third parties.
- Credits have no cash value except as required by applicable law. Unclaimed property laws (including Delaware's 5-year dormancy period for stored value) may apply to unused credits. XGenTra will comply with applicable unclaimed property laws.
- Unused credits are forfeited upon account deletion, except where applicable law requires otherwise.
Paid builds. Where an AI build in the Service is charged, the Service shows the credit amount before the build starts. That amount is reserved from your balance when the build starts and is charged in full only if the build completes; it is not adjusted to actual usage. If the build fails, or is cancelled before it starts running, the reserved credits are released in full. File processing such as OCR is charged separately when it is performed. XGenTra may refund build charges at its discretion.
If you cancel a build while it is running, the reserved credits are released in full, and you must wait for a period set by XGenTra, currently 5 minutes, before starting your next build. No waiting period applies when a build is cancelled before it starts running.
If a build completes but its result fails validation, only the minimum charge shown is charged and the rest is released.
7. Payments and Taxes
- All transactions are processed in USD via Stripe.
- You are responsible for all applicable taxes on your purchases or earnings.
- XGenTra may withhold taxes as required by applicable law.
8. AI-Generated Content
8.1 Nature of .xagt Files
.xagt files may contain AI-generated content, AI-assisted instructions, or prompts designed for use with AI systems. Outputs depend on the AI runtime used and cannot be guaranteed to be accurate, complete, or suitable for any specific purpose.
8.2 Hallucination and Output Accuracy
AI systems, including those used with .xagt files, may produce outputs that are factually incorrect, misleading, or fabricated ("hallucinations"). XGenTra makes no representation that any AI-generated output is accurate, truthful, or reliable. Users must independently verify any AI output before relying on it for any decision or action.
8.3 User Responsibility
Users who deploy .xagt files bear sole responsibility for:
- Evaluating the file's suitability for their intended use.
- Reviewing and verifying AI-generated outputs before acting on them.
- Any decisions or actions taken based on AI outputs.
- Compliance with applicable laws when using AI outputs.
8.4 No Professional Advice
Content produced by .xagt files does not constitute legal, medical, financial, or other professional advice. Do not rely on AI outputs as a substitute for advice from a qualified professional.
9. Intellectual Property
9.1 XGenTra IP
All trademarks, logos, software, platform code, and original content created by XGenTra are the exclusive property of XGenTra Inc. You may not copy, modify, distribute, or create derivative works without express written permission.
9.2 User Content
You retain ownership of content you create or upload. By using the Service, you grant XGenTra a limited license to use your content solely to operate and improve the Service.
9.3 DMCA / Copyright Complaints
To report copyright infringement, send a notice to [email protected] including:
- Identification of the copyrighted work.
- Identification of the allegedly infringing material.
- Your contact information.
- A statement of good faith belief.
- Your signature (electronic or physical).
10. Prohibited Conduct
The following are prohibited for all users:
- Attempting unauthorized access to the Service or other users' accounts.
- Using automated tools (bots, scrapers) without XGenTra's written permission.
- Engaging in fraudulent transactions, including chargebacks without valid basis.
- Harassing, threatening, or abusing other users.
- Circumventing content protection, DRM, or access control measures.
- Violating any applicable local, national, or international law.
11. Disclaimers and Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XGenTra SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL XGenTra'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO XGenTra IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD $100.
12. Indemnification
You agree to indemnify, defend, and hold harmless XGenTra Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit to the Service.
13. Termination
XGenTra may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to XGenTra, other users, or third parties (see also Sections 3.5 and 3.7). Upon termination, your right to use the Service immediately ceases. However:
- a license to a file that you lawfully downloaded before termination continues under Section 5.1, unless the termination is for your breach of Section 5.2 or the file is removed for rights infringement, illegal content, or a legal request; and
- termination of a Maker's account does not by itself end Buyers' licenses or access to files purchased from that Maker (Section 5.4).
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
14.2 Arbitration
Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration governed by the Federal Arbitration Act (FAA) and administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
- Seat: The arbitration shall be conducted in Wilmington, Delaware, or at any other location mutually agreed by the parties or determined by the AAA under its Consumer Arbitration Rules.
- Language: English.
- Number of arbitrators: One (1) arbitrator.
- Small claims: Either party may bring an individual claim in small claims court if the claim qualifies, in lieu of arbitration.
- Costs: Arbitration fees and arbitrator compensation shall be allocated in accordance with the AAA Consumer Arbitration Rules. XGenTra will pay arbitration fees for claims under $10,000 unless the arbitrator finds the claim frivolous.
- Consumer law: Nothing in this arbitration clause limits or waives any rights you may have under mandatory consumer protection laws of your jurisdiction that cannot be contractually waived.
14.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis, and not in a class, consolidated, or representative action.
14.4 Note for Non-U.S. Users
These Terms are governed by U.S. law. Mandatory consumer protection laws of your country of residence may apply alongside these Terms.
15. Modifications to Terms
XGenTra reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
However, changes that are needed to introduce new features or services take effect when they are posted; the 30-day notice above applies to other material changes. The revision of October 15, 2026 takes effect on that date, and the rules it introduces (including Sections 3.5 to 3.7, 4.5, 4.6, and 5.4) apply to events that occur on or after that date.
16. General Provisions
- Severability: If any provision is found invalid or unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
- No Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Entire Agreement: These Terms constitute the entire agreement between you and XGenTra regarding the Service.
- Language: This document is the authoritative version. In the event of any conflict between a translated version and this English version, this English version shall prevail.
- Mandatory Consumer Rights: Nothing in these Terms limits or excludes any rights you may have under mandatory consumer protection laws applicable in your jurisdiction that cannot be waived by contract.
